🔴 By using the site, you agree to be bound by these TOS, including but not limited to our Legal Conditions and Disclaimers and Privacy Policy and other usage guidelines and rules that may be posted from time to time, all of which are incorporated herein by reference, and to follow the Terms of Use and all applicable laws and regulations governing the site. If you do not agree, do not enter or use the site.
1. Scope of Services
1.1 General
ACTHK provides professional assistance for registering companies in Hong Kong, including preparing and submitting applications to the Hong Kong Companies Registry and Inland Revenue Department for Business Registration Certificates, as well as offering optional add-on services such as registered office addresses, company secretarial support, and bank account setup facilitation. Our Services are subject to availability and compliance with Hong Kong laws.
We act as an intermediary and do not guarantee approval by government authorities. You are responsible for providing accurate, complete, and timely information required for registration.
We help you register your Hong Kong company efficiently, but success depends on your input and government approval.
1.2 Service Limitations
ACTHK is not a law firm and does not provide legal advice. Our Services are administrative and procedural in nature. We may refer you to third-party professionals (e.g., lawyers or accountants) for specialized needs, but we are not responsible for their actions or advice.
2. Eligibility and Account
2.1 Eligibility
To use our Services, you must be at least 18 years old and have the legal capacity to enter into contracts. You represent that all information provided to us is true and accurate.
2.2 Account
You may need to create an account on our Site to access certain Services. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Notify us immediately of any unauthorized use.
Keep your account secure—it’s your responsibility.
3. Fees and Payment
3.1 Fees
Our fees for Services are outlined on the Site or in a separate quote provided to you. Government fees (e.g., Companies Registry or Business Registration fees) are additional and payable by you unless otherwise stated. All fees are non-refundable except as specified in Section 3.3.
3.2 Payment Terms
Payment is due in full before we commence Services, unless we agree to an alternative arrangement in writing. We accept payment via methods listed on the Site. Late payments may result in suspension or termination of Services.
3.3 Refunds
Refunds are issued at our discretion if we fail to initiate Services due to our error. No refunds are provided for completed work, government fees, or if you provide inaccurate information leading to delays or rejection.
Pay on time to avoid interruptions. Refunds are limited.
4. Client Responsibilities
You agree to:
- Provide all necessary documents and information promptly and accurately.
- Comply with Hong Kong laws, including the Companies Ordinance and Business Registration Ordinance.
- Notify us of any changes to your information that may affect the Services.
- Not use our Services for illegal purposes or to harm ACTHK or third parties.
Failure to meet these obligations may result in delays, additional costs, or termination of Services.
5. Intellectual Property
All content on the Site, including text, logos, and templates, is owned by ACTHK or our licensors and protected by intellectual property laws. You may not reproduce, distribute, or modify this content without our written consent, except for personal use related to the Services.
Our content is ours—use it only as permitted.
6. Confidentiality
We will treat your personal and business information as confidential, using it only to provide the Services or as required by law. You agree not to disclose any proprietary information we share with you (e.g., processes or templates) to third parties.
7. Termination
We may terminate or suspend Services, without notice, if:
- You breach these Terms.
- You fail to pay fees owed.
- We are required by law or government directive.
- We discontinue the Services (with reasonable notice where possible).
You may terminate Services by notifying us in writing before we begin work, subject to non-refunded fees already paid. Termination does not relieve you of payment obligations for completed work.
We can stop Services if you break the rules or don’t pay.
8. Limitation of Liability
To the fullest extent permitted by Hong Kong law, ACTHK and its affiliates, employees, or agents are not liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services or Site, including delays, registration rejections, or data loss. Our total liability is limited to the fees you paid us for the specific Service in question.
We’re not responsible for things beyond our control.
9. No Warranty
The Services and Site are provided “as is” without warranties of any kind, express or implied. We do not guarantee that Services will meet your expectations, be error-free, or result in successful company registration, as this depends on external factors like government approval.
We offer no guarantees—use at your own risk.
10. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Hong Kong Special Administrative Region (HKSAR). Any disputes will be subject to the exclusive jurisdiction of HKSAR courts, unless you’re an EU consumer, in which case you may file claims in your country of residence.
11. Additional TOS on Website Development Service
11.1 General
Our Website Development Service helps you to build a website or customize website work, with hosting provided by a third-party partner during your active subscription. This service is optional and subject to additional fees as outlined on the Site.
11.2 Usage Rights
We grant you a non-exclusive, non-transferable license to use the website builder tools and templates for your business or personal website during your subscription. You retain ownership of content you upload (e.g., text, images), but grant us a limited license to host and display it as part of the Service. Pre-designed templates and code remain our property.
11.3 Content Responsibility
You are solely responsible for the content you upload to your website, including its legality, accuracy, and compliance with applicable laws (e.g., copyright, privacy, and Hong Kong’s Personal Data (Privacy) Ordinance). We may remove content or suspend your website if we reasonably believe it violates these Terms or laws.
11.4 Hosting and Availability
We provide hosting as part of the subscription, but do not guarantee uninterrupted access or uptime due to potential technical issues or maintenance. You must renew your subscription to maintain hosting; failure to do so may result in website suspension or deletion after a 30-day grace period.
11.5 Domain Names
If you use a custom domain with your website, you are responsible for purchasing and maintaining it through a third-party registrar. We are not liable for domain disputes or losses.
11.6 Termination of Website Builder Service
You may cancel your website builder subscription via your account dashboard or by contacting us, effective at the end of your current billing cycle. Upon cancellation or non-renewal, your website and data may be deleted after 30 days unless you export it beforehand. We are not responsible for data loss post-termination.
Build your site with our tools, but you’re responsible for content and renewals.
12. Additional TOS on Banking and Payment Solution
12.1 General
Our Banking and Payment Solution Service helps you to find a payment gateway and payment receiver service, with service provided by a third-party partner during your active subscription. This service is optional and subject to additional fees as outlined on the Site.
By engaging with our service, users acknowledge and agree to the following terms:
12.2 No Involvement in Illegal Activities
We do not engage in, support, or facilitate any form of illegal transactions, fraud, money laundering, or illicit financial activities. Any misuse of our service by users for illegal purposes is strictly prohibited, and we disclaim all liability for such actions.
12.3 Third-Party Processor Relationships
We do not own, operate, or control the payment processors or financial institutions we recommend. All agreements, underwriting approvals, and terms of service are strictly between the merchant and the respective payment provider. We are not responsible for any disputes, account terminations, or financial losses that may arise.
12.4 Compliance & Due Diligence
Merchants are responsible for ensuring their own business compliance with local laws, financial regulations, and the terms of their chosen payment processor. We encourage all clients to conduct their own due diligence before entering into any financial agreement.
12.5 No Liability for Third-Party Communications
We are not responsible for communications that occur outside our official channels. We do not guarantee the legitimacy or safety of any contacts, groups, or discussions that occur on Telegram, LinkedIn, forums, or other third-party platforms. Users should verify the credibility of anyone they interact with.
12.6 Financial Risks & Responsibility
All financial decisions made based on our consulting services are at the sole discretion of the merchant. We do not provide investment, legal, or financial advice. Users acknowledge that high-risk payment processing comes with inherent risks and agree that ACTHK is not liable for any financial losses or processor rejections.
12.7 Fraud & Misrepresentation Policy
If we detect fraudulent activity, misrepresentation, or illegal use of our services, we reserve the right to terminate engagement immediately and report any suspicious activities to the appropriate authorities.
13. Indemnity
You agree to indemnify that it shall defend, indemnify, save and hold ACTHK harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney’s fees asserted against ACTHK, its agents, its customers, officers and employees, that may arise or result from any service provided or performed or agreed to be performed or any product sold by customer, its agents, employees or assigns. Customer agrees to defend, indemnify and hold harmless ACTHK against liabilities arising out of: (1) any injury to person or property caused by any products sold or otherwise distributed in connection with ACTHK; (2) any material supplied by customer infringing or allegedly infringing on the proprietary rights of a third party; (3) copyright infringement and (4) any defective products sold to customers from ACTHK’s services.
14. Violation of These Terms of Use
ACTHK may disclose any information we have about you (including your identity) if we determine that such disclosure is necessary in connection with any investigation or complaint regarding your use of the Site, or to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) ACTHK’s rights or property, or the rights or property of visitors to or users of the Site, including ACTHK’s customers. ACTHK reserves the right at all times to disclose any information that ACTHK deems necessary to comply with any applicable law, regulation, legal process or governmental request. ACTHK also may disclose your information when ACTHK determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.
You acknowledge and agree that ACTHK may preserve any transmittal or communication by you with ACTHK through the Site or any service offered on or through the Site, and may also disclose such data if required to do so by law or ACTHK determines that such preservation or disclosure is reasonably necessary to (1) comply with legal process, (2) enforce these Terms of Use, (3) respond to claims that any such data violates the rights of others, or (4) protect the rights, property or personal safety of ACTHK, its employees, users of or visitors to the Site, and the public.
You agree that ACTHK may, in its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site if we determine that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of the Site. You also agree that any violation by you of these Terms of Use will constitute an unlawful and unfair business practice, and will cause irreparable harm to ACTHK, for which monetary damages would be inadequate, and you consent to ACTHK obtaining any injunctive or equitable relief that ACTHK deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies ACTHK may have at law or in equity.
You agree that ACTHK may, in its sole discretion and without prior notice, terminate your access to the Site, for cause, which includes (but is not limited to) (1) requests by law enforcement or other government agencies, (2) a request by you (self-initiated account deletions), (3) discontinuance or material modification of the Site or any service offered on or through the Site, or (4) unexpected technical issues or problems.
If ACTHK does take any legal action against you as a result of your violation of these Terms of Use, ACTHK will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to ACTHK. You agree that ACTHK will not be liable to you or to any third party for termination of your access to the Site as a result of any violation of these Terms of Use.
15. Changes to Terms
We may update these Terms at any time by posting the revised version on the Site. Changes take effect immediately upon posting. Your continued use of the Services after updates constitutes acceptance of the new Terms.
